These Terms of Service (“Terms”) govern your access to and use of the websites and services provided by Grupo Gedeon S.A., doing business as Neurona (“Neurona,” “we,” or “us”), a legal entity organized under the laws of the Republic of Panama. By using our Sites or purchasing our services, you expressly agree to be legally bound by these Terms and all applicable laws of Panama.
1. Scope of Services
Neurona provides a range of digital solutions, including:
- Web & App Development: Custom sites (Astro, React), SaaS platforms, and MVP development.
- E-commerce: Conversion-focused stores and technical support.
- Infrastructure & DevOps: Cloud computing (AWS, GCP, DigitalOcean), managed hosting, and security.
- Brand & Motion Design: Visual systems, 2D animation, and design books.
2. Intellectual Property Rights
- Our Content: All material on our Sites, including logos, text, and code, is copyrighted by Neurona unless otherwise noted. You may not reproduce, download, or transfer this content without our prior written agreement.
- Permitted Use: You are authorized to view and retain a single copy of pages for personal use only.
- Work Product: Ownership of deliverables (e.g., custom code or designs) will be governed by individual service contracts, but Neurona retains all rights to its pre-existing proprietary tools, frameworks, and methodologies used during development.
3. User Responsibilities & Restrictions
- Compliance: You must comply with all applicable Panamanian laws and regulations.
- Prohibited Acts: You shall not deep-link to the Sites, reverse-engineer our software, or use our services for any illegal purpose.
- Minors: Our services are strictly for individuals 18 years of age or older. We do not knowingly provide services to minors in Panama.
4. Fees, Payments, and Subscriptions
- Billing: Services are billed based on the selected package or subscription model (Flat-rate, Usage-based, or Tiered).
- Late Payment: Failure to pay within the agreed timeframe may result in immediate suspension of hosting, DevOps support, or access to your SaaS platform.
- Refunds: Unless specified in a signed service agreement, all fees paid are non-refundable.
5. Ruthless Limitation of Liability
- "As Is" Basis: All services, information, and third-party links are provided "as is" without any guarantee of accuracy, completeness, or timeliness.
- No Warranty: We do not warrant that our services will be uninterrupted or error-free. Reliance on any information provided is at your own risk and should be verified by independent experts.
- Liability Cap: To the maximum extent permitted by Panamanian law, Neurona’s total liability for any claim arising from these Terms is strictly limited to the total amount of fees paid by you to Neurona during the twelve (12) months preceding the claim.
- Exclusion of Damages: Neurona is not liable for indirect, incidental, or consequential damages, including but not limited to lost profits, data loss, or business interruption.
6. Termination
We reserve the right to terminate your access to our Sites or services immediately and without notice if you violate these Terms. Upon termination, your right to use our infrastructure and software ceases immediately.
7. Privacy and Data Protection
Your use of our services is also governed by our Privacy Policy, which adheres to Law 81 of 2019 and Executive Decree 285 of 2021 of Panama. The National Authority for Transparency and Access to Information (ANTAI) is the oversight body.
8. Severability & Governing Law
- Severability: If any provision of these Terms is found invalid, the remaining provisions remain in full force.
- Jurisdiction: These Terms are governed by the laws of the Republic of Panama. Any disputes shall be resolved exclusively in the courts of Panama City.
